2. Acceptance of Terms

By accessing and using Neuroon.ai ("the Service"), you agree to be bound by these Terms and Conditions of Service. If you disagree with any part of these terms, you may not access the Service.

3. Service Description

Neuroon.ai is a SaaS platform that provides intelligent semantic search for e-commerce stores. The Service includes:

• AI-powered search engine
• Product catalogue indexing and management
• Analytics and metrics dashboard
• Integration with major e-commerce platforms

4. Account Registration

To use the Service, you must:

• Provide accurate, complete and up-to-date information during registration
• Maintain the security of your account and password
• Notify us immediately of any unauthorized use of your account
• Be responsible for all activities that occur under your account

5. Plans and Billing

5.1 Subscription Plans:

We offer different subscription plans tailored to each business's needs, from free trial plans to enterprise plans. Details of each plan are available on our pricing page.

5.2 Billing:

• Subscriptions are billed monthly or annually according to your choice
• Payments are processed through a secure external payment provider
• Renewals are automatic unless cancelled in advance
• Prices are subject to change with 30 days' prior notice
• All displayed prices include VAT (currently 21%) under Spanish legislation.
• For intra-EU business customers with a valid VAT number, the reverse charge mechanism will apply and the price will be invoiced without VAT.

5.3 Licensing Model:

Each subscription represents a licence that can be assigned to one store. Licences can be purchased in advance and assigned later to new stores.

5.4 Right of Withdrawal:

In accordance with Royal Legislative Decree 1/2007 (Art. 102-103), if you are a consumer, you have the right to withdraw from the contract within 14 calendar days of contracting, without providing any reason.

To exercise this right, send a clear communication to soporte@neuroon.ai stating your decision to withdraw.

Exceptions: The right of withdrawal shall not apply when the service has been fully performed with the consumer's prior consent and acknowledgement that they will lose their right of withdrawal once the service has been fully performed (Art. 103.a RDL 1/2007).

In the event of withdrawal, we will refund all payments received within a maximum of 14 calendar days of receiving your communication, using the same payment method used for the initial transaction.

5.5 Contracting Process:

In accordance with Art. 27 of the LSSI-CE, the contracting process is as follows:

1. Account registration via Google OAuth or magic link
2. Acceptance of these Terms and the Privacy Policy
3. Selection of subscription plan
4. Payment processing through Stripe (PCI DSS Level 1 secure payment provider)
5. Order confirmation by email
6. Store creation and licence assignment

The contract is formalised in Spanish. The document will be archived and accessible from your control panel.

6. Acceptable Use

You agree NOT to:

• Use the Service for illegal or unauthorised purposes
• Attempt to gain unauthorised access to any part of the Service
• Reverse engineer the Service
• Transmit viruses, malware or malicious code
• Harass, abuse or harm other users
• Send spam or unsolicited content
• Violate intellectual property rights
• Intentionally overload the Service infrastructure

7. Intellectual Property

7.1 Neuroon.ai Rights: The Service and all its content, features and functionality are the property of Neuroon.ai and are protected by intellectual property laws.

7.2 Customer Data: You retain all rights to your product and customer data. You grant us a limited licence to process this data solely to provide the Service.

8. Privacy and Data Protection

The processing of your personal data is governed by our Privacy Policy, which complies with the General Data Protection Regulation (GDPR) and the Spanish Organic Law on Data Protection (LOPD).

9. Data Portability (EU Data Act 2025)

In accordance with the EU Data Act effective since September 2025:

• You have the right to export all your data in standard format
• We facilitate migration to other service providers
• We do not apply switching penalties
• Data export is free of charge

10. Use of Artificial Intelligence

In accordance with Regulation (EU) 2024/1689 (EU AI Act), we inform you that the Service uses artificial intelligence systems in the following functionalities:

• Semantic search: Uses OpenAI embedding models to convert text queries into vector representations that enable finding relevant products.
• Intent detection: Uses Google Gemini (Gemini 2.5 Flash Lite) to classify user intent (search, navigation, comparison, etc.).
• Voice search: Uses Google Cloud Speech-to-Text to convert audio to text.

These systems are classified as minimal risk under the EU AI Act and do not make automated decisions with legal effects on users (Art. 22 GDPR).

Data processed by these systems is used exclusively to provide the Service and is not used to train third-party AI models.

11. Warranties and Availability

11.1 Service Level: We strive to maintain 99.9% availability of the Service, excluding scheduled maintenance.

11.2 Limitation of Warranties: The Service is provided "as is" and "as available". We do not guarantee that the Service will be uninterrupted, error-free or completely secure. This limitation does not affect the rights you may have as a consumer under applicable law, which shall prevail in all cases.

12. Limitation of Liability

In no event shall Neuroon.ai be liable for indirect, incidental, special, consequential or punitive damages, including loss of profits, data, use or other intangible losses, even if we have been advised of the possibility of such damages.

Our total liability shall not exceed the amount paid by you in the last 12 months. This limitation shall not apply in cases of wilful misconduct, gross negligence, or where the law does not permit its exclusion.

13. Cancellation and Termination

13.1 By the Customer:

• You may cancel your subscription at any time from your control panel
• Cancellation will take effect at the end of the current billing period
• No refunds are made for partial periods, without prejudice to the right of withdrawal established in section 5.4

13.2 By Neuroon.ai:

We may suspend or terminate your access if you violate these terms, with 30 days' prior notice except in cases of serious security breaches or fraudulent use.

14. Service Modifications

We reserve the right to modify or discontinue the Service at any time, with 60 days' prior notice for substantial changes. Minor improvements may be implemented without prior notice.

15. Governing Law and Jurisdiction

These Terms are governed by Spanish law. For any dispute:

• Consumers: Courts of your domicile (General Consumer Protection Act)
• Businesses: Courts of Guadalajara, Spain

16. Dispute Resolution

Consumers may access the European online dispute resolution platform: https://ec.europa.eu/consumers/odr

18. Severability
